As a Legal Counsel (remote, part-time or full-time), you will join the IOTA Foundation’s Legal & Regulatory Affairs team. You will support the organization’s day-to-day operations and help develop innovative solutions to complex legal questions. You will play a key role in ensuring the IOTA Foundation’s compliance with both new and existing regulations, and you will work with regulators and policy-makers to provide legal certainty for those who want to use IOTA technology.

**Legal Compliance:**
– Ensure that IOTA’s operations and technology solutions comply with applicable laws and regulations across different jurisdictions.
– Work with internal teams to create and implement policies and procedures that support ongoing legal compliance.
– Research and anticipate distinctive legal issues in the Web3 sector that may affect the IOTA Foundation, its ecosystem, and partners.

**Legal Certainty for Users:**
– Partner with external stakeholders—including businesses, developers, and users—to deliver legal guidance and clarity on the use of IOTA technology.
– Create educational materials and resources that improve understanding of legal implications within the IOTA ecosystem.

**Contractual Negotiations:**
– Negotiate and draft a range of agreements, such as partnership agreements, licensing agreements, and contracts with third-party vendors, ensuring appropriate legal protections and compliance.
– Advise on contract status, legal risks, and potential legal liabilities for different partnerships and commercial arrangements.
– Set up and oversee legally compliant employment arrangements and freelancer agreements.

**Dispute Resolution:**
– Manage legal issues arising from disputes or conflicts, working toward solutions through negotiation, mediation, or other suitable approaches.
– Collaborate with external legal counsel when needed.

**Policy Development:**
– Help develop internal policies and guidelines to meet legal requirements and reflect industry best practices.

**Cross-Functional Collaboration:**
– Collaborate with technical teams to understand the details of IOTA’s technology and its legal implications.
– Coordinate with teams responsible for technology adoption, communications, and marketing to align legal strategies with organizational objectives.

**Regulatory Engagement:**
– Track and analyze regulatory changes worldwide, offering insights and recommendations to the organization and to the associations of which IOTA is a member.
– Build and maintain a strong understanding of regulatory developments affecting blockchain and DLT.

**Requirements:**
– 4+ years of substantial experience as legal counsel, ideally in the Web3 space.
– Common law background.
– Master’s degree in law and passing the Bar exam.
– Strong knowledge of global legal and regulatory environments related to blockchain and DLT.
– Proactive working style and comfort with a fully remote setup.
– Excellent communication skills and strong teamwork.
– High fluency in spoken and written English.
