What is Teamshares?
Teamshares is a technology-enabled acquirer of high-quality businesses, with the goal of becoming a permanent home for them. Operating as part holding company and part fintech, Teamshares programmatically acquires companies with $0.5 to $5 million in EBITDA from retiring owners, integrates them into the Teamshares platform, and helps employees earn company stock. Founded in 2019, Teamshares runs subsidiaries with more than $400 million in consolidated revenue across over 40 industries and 30 states.
The Role
As part of the Transaction team, you will lead and carry out financial due diligence for potential acquisitions that align with Teamshares’ core investment thesis. You will be central to assessing small businesses, producing financial insights, and supporting investment decisions from initial diligence through deal execution.
What you will do:

  • Lead and execute financial due diligence for potential small-business acquisitions based on our investment thesis, ensuring thorough review of financial statements and historical performance.
  • Create financial analyses and pro forma models (including income statements, balance sheets, free cash flows, and sensitivity analyses as needed).
  • Produce and present financial and operational insights for each opportunity using provided financial data, accounting processes, and strategic fit with the investment thesis.
  • Conduct quality-of-revenue and quality-of-earnings analyses and develop working capital metrics.
  • Partner with legal, tax, and operational teams to collect relevant information and ensure a comprehensive due diligence process.
  • Clearly communicate results and provide guidance to teammates throughout due diligence.
  • Prepare detailed reports and workbooks that outline key findings, risks, and opportunities, and present them to the investment team in a clear and concise manner.
  • Support the preparation of indications of interest, LOIs, and provide technical input for purchase agreements.
  • Review peer work and other team members’ deliverables to ensure accuracy and high quality.
  • Maintain strong attention to detail to ensure all work is accurate and meets the highest standards.
  • Collaborate with the technology team to convert due diligence learnings into practical software improvements and capabilities.
  • Ensure smooth integration of technology solutions to improve the efficiency of the due diligence process.
What you bring:

  • 3+ years of accounting and buy-side transaction experience in an accounting advisory, private equity, or broad transaction advisory environment, including exposure to both financial and tax (reporting) accounting.
  • CPA, CA, or CFA preferred.
  • Experience at a mid-market accounting firm is strongly preferred.
  • Proven ability to evaluate small to mid-sized businesses.
  • Strong interest in and enthusiasm for enabling employee ownership in small businesses. Entrepreneurial, proactive mindset with the ability to excel in both team settings and independent work.
Who you are:

  • Highly motivated and able to manage multiple projects at the same time.
  • Excellent verbal, written, and interpersonal communication skills.
  • Strong analytical, organizational, and leadership skills.
  • Proficiency in Microsoft Excel and other presentation tools.
  • Able to take initiative, own workstreams, and work independently.
