About Teamshares
Teamshares acquires small businesses from retiring owners, transitions them to new leadership, and grants meaningful equity to employees. Our mission is to create $10 billion in wealth for working Americans by building a network of 10,000 employee-owned companies.
We are in the early days of building a durable public company. Over the past several years, we have continuously adapted and strengthened our model — improving financial discipline, governance rigor, and operational systems across our network. This is a pivotal moment for our Legal team.
The Role
We are seeking a strategic, business-oriented attorney to join our Legal team and lead across core corporate work — governance, securities, and strategic transactions — while partnering closely with Finance, Accounting, Strategy, and executive leadership.
This is a high-impact role with real ownership and visibility. You will help design and institutionalize the legal and governance infrastructure required to scale a multi-entity operating company and transition to public-company readiness.
The ideal candidate combines strong technical corporate and securities expertise with sound judgment, operational pragmatism, and a bias toward building durable systems.
Key Responsibilities:
Corporate Governance & Public Company Readiness
- Assist with board and committee operations, including preparation of materials, resolutions, written consents, and governance documentation.
- Maintain corporate formalities across Teamshares and affiliated entities, ensuring compliance with state, federal, and international requirements.
- Help design and implement scalable governance processes to support public company readiness, including SEC reporting preparation, insider trading policies, disclosure controls, and compliance with the 1933 and 1934 Acts.
- Partner with Finance and Accounting to support internal controls over financial reporting and audit readiness.
- Maintain organized, auditable systems for tracking governance documents, equity records, and regulatory filings.
Transactions & Financial Operations
- Provide legal support for debt compliance and capital structure optimization.
- Support implementation of processes that will scale in a public-company environment.
Equity & Ownership Management
- Oversee the company’s equity plans and incentive programs.
- Advise on issuance, transfer, repurchase, and restructuring of shares and options.
- Coordinate with Finance and HR on equity grants and employee equity education.
- Help ensure compliance with securities exemptions and public-company reporting obligations.
Risk Management & Cross-Functional Partnership
- Advise executive leadership on legal risk with financial, governance, or strategic implications.
- Help develop and roll out internal policies reflecting public-company standards.
- Coordinate with external counsel efficiently and cost-effectively.
- Provide training on governance, equity, and securities compliance.
Required Qualifications
- 5+ years of experience in corporate and securities law, including equity administration.
- Juris Doctor (JD) from an accredited law school.
- Active membership in good standing with at least one U. S. state bar.
- Experience managing complex corporate transactions.
- Strong knowledge of U. S. securities laws, including the 1933 and 1934 Acts.
- Excellent communication, analytical, and organizational skills.
- Ability to operate cross-functionally in a fast-paced environment.
- Business-oriented mindset balancing legal rigor with practicality.
Preferred Qualifications
- Experience in Big Law corporate or capital markets practices. Direct experience supporting an IPO or serving in a public company legal department.
- Familiarity with Carta, Shareworks, MS@Work or similar equity platforms.
- Experience supporting large-scale financing events (private and/or public).
- Experience operating in a multi-entity structure with financial oversight discipline.
Why Join Now
Teamshares is building a financially disciplined, mission-driven company designed for long-term public markets durability. This role offers the opportunity to help architect the governance and securities foundation for our next chapter.
